01. Overview of Service

These Terms and Conditions constitute a binding legal agreement executed between the client enterprise (referred to as "Client" or "User") and VIKNESH SUBRAMANIAN (SKANDA), having its registered operating facility at 251, MSK Nagar, Surampatti Valasu, Erode, Tamil Nadu, India — 638009 (referred to as "SKANDA" or the "Company").

SKANDA provides technical architectural consulting, custom machine-learning execution layers, automated data pipelines, and foundational artificial intelligence integration scripts (collectively, the "Services"). By requesting a live system audit or depositing operational deployment tokens, the Client agrees to be bound unconditionally by these rules.

02. Scope of Custom Engineering Architecture

All software architectures, code modules, CRM synchronizations, and automation matrices delivered by SKANDA are highly customized B2B configurations tailored directly to Client-submitted operational parameters. SKANDA implements integrations on an "as-requested" engineering model. The Client acknowledges that:

  • The system output depends entirely on the validity, cleanliness, and accuracy of data feeds supplied by the Client's internal systems.
  • SKANDA does not maintain or govern third-party native software updates (such as updates to Salesforce, Meta, OpenAI, or specialized external CRMs) that may alter baseline code runtime paths post-deployment.

03. Token Allocation & Absolute Non-Refundability

To secure custom developer slot allocations and initiate structural operational system audits, the Client must process a priority token deposit framework. Because the initialization of the deployment plan commands immediate architecture review, script mapping, and custom provisioning of technical consulting nodes:

  • All slot booking deposits and engineering token fees are strictly non-refundable once infrastructure analysis, engineering analysis, or custom workflow configuration has commenced.
  • Payments are processed securely via encrypted verification gateways (including Razorpay / Cashfree Payments). In the event of transaction faults, the Client agrees to clear duplicate logs directly with their issuing banking institution before raising duplicate invoice queries.

04. Intellectual Property Shield

Unless expressly explicitly agreed to in a separate, standalone physical master services agreement signed by the Founder, SKANDA retains all global ownership rights, source-code title, intellectual blueprints, core automation scripts, and underlying workflow patterns engineered during the integration lifecycle.

Upon final invoice settlement, the Client is granted a non-exclusive, non-transferable, royalty-free, perpetual runtime execution license to run the specific customized deployment script solely inside their immediate internal corporate business framework. Reselling, white-labeling, or reverse-engineering SKANDA's infrastructure core engines to third-party entities is strictly prohibited.

05. Exclusions & Third-Party API Liability

The Client handles all operational relationships with external LLM networks, token data hosts, and communication providers directly. SKANDA is not responsible for, nor liable for, third-party pricing changes, token rate limits, or API billing spikes incurred by the client (such as unexpected OpenAI usage charges, Meta WhatsApp Cloud API conversations bills, or Twilio routing balances) triggered during system operations, automated text queries, or conversational data passes.

06. Absolute Limitation of Liability

To the maximum extent permitted by applicable Indian cyber security and merchant regulations, SKANDA, its engineers, and its founder VIKNESH SUBRAMANIAN shall never be held liable for any indirect, incidental, punitive, or consequential corporate damages, including but not limited to loss of commercial profits, operational workflow downtimes, internal database corrupted fields, server proxy outages, or missed appointments arising out of automated message delays.

In all eventualities, the total aggregate liability of SKANDA for any active structural claim or legal parameter breach shall be strictly capped at the exact monetary amount paid by the Client to SKANDA for that specific individual deployment slot token during the immediately preceding thirty (30) days.

07. Strict Governing Law & Jurisdiction

These terms, system specifications, and corporate parameters shall be interpreted, governed, and legally enforced strictly in accordance with the laws of the **Republic of India**, without giving effect to any principles of conflicts of laws.

Any active dispute, litigation, or regulatory arbitration proceeding initiated by either party regarding system compliance or payment milestones shall fall under the **exclusive territorial jurisdiction of the courts located in Erode, Tamil Nadu, India**, to the exclusion of all other global legal jurisdictions.
